(一)战略协同部门:成为管理层的法律建议提供者,商业战略决策层的核心成员


首先,在整体工作思路上,我们会跟随公司的战略。具体表现为,法务参与到每个部门的战略拆解。我对法务部的同学有一个最基本的要求:每一个人去支撑一条业务BP线。


(二)赋能服务:将法律建立在业务中。针对业务需求给出法律分析,对业务进行运营辅助和纠纷处理

(一)法商思维


我们一直强调法商思维。我们要懂业务的商业逻辑、经营的本质、了解行业环境,站在投资者、决策者角度去思考。这样,我们才能作为法律中间人,给出判断,帮助决策。


我们在和律所以及其他合作方的合作过程中发现一个问题,就是大家只会很简单地提示风险,而对风险的后续回避和预防工作还不够。而我们要求法务们利用专业知识处理业务合规、合同、诉讼、知识产权管理等事务,明确回应问题的风险点在哪里,在当前的大商业环境下是否可以实行?


我们提示风险的目的,是让业务、BP不要再犯此类问题。不是只提示风险,让业务自行进行确认,在问题出现后把责任全部归属于业务,这种逻辑在喜马拉雅是不ok的。


(二)带着解决方案说NO


我们要求法务带着解决方案说no。优秀的法务,不是能揭示所有风险的人,而是能揭示风险,并能提供具有实操解决方案的人。特别是在互联网公司,业务要达成的方案,可能在他的认知路径上存在法律风险,我们需要为其能达到业务目的构建风险较小或者可承受风险下的新路径,以赋能服务业务的发展,所以解决方案是关键。


(三)权衡风险与收益:深耕业务,与业务良性循环、互相成就


在我最早来喜马拉雅的时候,我们在平台上朗读一本小说,到底归属于哪个权利,还没有明确的规则,各个法院的判决都不一样。在这样的基础上,我们就会去平衡风险与收益。特别是我们的用户中有大量的创作者,他们对于法律的了解程度不深,很难做到同频沟通。在这样的情况下,我们需要深入浅出的给予我们创作者以引导,并且在获取版权的策略上以“用户为中心”去解决一些生态的需求。具体到合同应该怎么写?怎样既法言法语,又让对方能够理解?我们会特别强调以下三个基本要求。

Say NO with a solution


We ask the legal officer to say no with the solution A good lawyer is not a person who can reveal all risks, but a person who can reveal risks and provide practical solutions In particular, the solution to be achieved in the Internet business may have legal risks in its cognitive path. We need to build a new path with less risks or tolerable risks to empower the service business, so the solution is the key.

When I first came to the XIMALAYA, we read a novel on the platform. Which right it belongs to? There are no clear rules, and each judgment is different On this basis, we will balance risks and benefits In particular, there are a large number of creators among our users. 如果法务就在办公室苦想,是难有结果的。比如今天要采买一个零件,你可能永远不会预判到可能芯片涉及到的汇率问题、垄断问题,也绝对不会想到用户们在知识产权、著作权的认知层面与我们是有多么大的差异。曾经就有用户来投诉说:“我在新华书店买了本书,我怎么就不能在平台上读?我怎么就没有这本书的版权?”


因此,我们鼓励、希望我们的法务小伙伴去关注业务发展过程的每一步,体验它的每一步,再去做结论。

互联网公司是看数据的,我们法务有一个要求也要用数据说话,比如提高法务部的合同审核效率。要怎么利用数据来提高合同审核的效率呢?我们特别强调小伙伴,要通过业务过程中对合同的反复使用情况,来进行季度复盘。通过分析合同条款的使用情况:哪些合同、哪个条款总是被挑战?针对这些条款,我们就要考虑进行主动修改了。其他,我们还看业务的数据。相比于在蓬勃发展的业务,我们对在萎缩中的业务的法律支撑是不一样的。另外,我们还要求透过现象看本质数据,合同数量增多,不一定是营收好。需要透过现象看回款情况、坏账情况等。


且,我们要站在更加客观的角度看到业务的不同情况,我们通过整理、复盘签约回款情况,就会发现,我们广告投放业务的客户类型不同,在回款上也有一些不同的规律。因此就需要我们的法务小伙伴根据不同的客户情况来进行合同回款的不同风控策略,做到效率与风险控制的平衡。同时,我们会和财务对现金流数据,分析在什么样的情况下合同可以过。


以上就是我们要求法务一定要去看数据的原因,希望所有法务同学在审核合同的时候,不是吹毛求疵地想出一份完美无瑕的合同,却发现各类条款难以实现,发现有了签约困难。而是希望大家能够适应每一个类型的客户,相对高效合理地对出具合同。

At the same time, we will work with finance on cash flow data to analyse under what circumstances the contract can pass.


The above is why we ask the legal department to look at the data. I hope that all the legal students will not find fault when reviewing the contract, but find that all kinds of clauses are difficult to achieve and find that it is difficult to sign the contract But I hope everyone can adapt to each type of customer and issue contracts relatively efficiently and reasonably.

我们比较强调扁平化的分工。


在诉讼板块,我们会对案件做一些区分,哪些案件放在外部律所,哪些案件放在我们自己手上,什么样的案件一定要去打?这就要求我们的法务同学理解公司战略。在互联网企业普遍呈现快节奏的环境下,我们会根据公司的发展做一些诉讼策略的调整。


在业务板块,因为我们有特别多的业务,我们会要求负责这个业务的法务同事要特别深入到这个业务部门。甚至可以说,不参加法务的周会,也不可以不参加业务的周会。本意也就是希望去更了解业务。


在合规板块,因为我们是个强监管下的企业,并有着内容安全、意识形态方面的问题。所以我们成立了合规团队去处理我们这方面的业务。
